TERMS
Upon approved credit the following terms will apply:
Blue Water Security Inc. standard terms are net cash 21 days from the date of invoicing except where other arraignments have been made. Invoices will be sent out within one day of shipment and are mailed from our corporate headquarters in La Mesa California.
Any remaining balance on the invoice which has not been paid within the 21 days of the invoice date will accrue a monthly service charge equal to the maximum rate permitted under section 1, Article XV of the California Constitution as amended by Proposition 2 effective November 7, 1979 (i.e., Federal Reserve discount rate plus five (5) percent per annum) commencing 22 days after the invoice date. In the event of any litigation arising out of this contract or any efforts by seller to enforce any of this contract, or to receive payment of any sum under this contract the prevailing party shall be entitled to recover reasonable attorney's fees and costs. This contract shall be interpreted in accordance with the laws of the State of California and venue for any dispute arising out of this contract shall be in San Diego County, California
WARRANTY
Seller warrants that all products, packages and goods sold under this contract are based on individual manufacturer policies and warranties, based on the date of shipment from Blue water Security Inc, in coordination with the user/dealers individual completion of each manufacturer's warranty card. If the equipment has been properly used. Most manufacturer warranties are usually limited to the repair or complete replacement of the unit or replacement of parts and the necessary labor and services required to repair the goods based on times and individual policies.
ANY B-STOCK or USED EQUIPMENT sold by Blue water Security Inc. will be limited to Manufacture's B-STOCK POLICIES and ANY USED EQUIPMENT WILL HAVE NO WARRANTY. IT IS EXPRESSLY AGREED THAT THIS WARRANTY WILL BE IN LIEU OF ALL WARRANTIES OF FITNESS AND IN LIEU OF THE WARRANTY OF MERCHANTABILITY. This warranty is the exclusive and only warranty to pass with the products, packages and goods under this contract. No agent, employee, or representative of the Seller has any authority to bind Seller to any information, representation, or warranty concerning the goods sold under this contract, and unless an affirmation, representation, or warranty made by an agent, employee, or representative is specifically approved in writing by Blue water Security Inc. officers and included within this contract, it will not be enforceable by Buyer. If notice of defect on products that are covered by warranty is given to Blue water Security Inc. within 30-day period from completed installation of an operating system.
Blue water Security Inc. will stand behind our dealers and customers through our RMA policies. Blue water Security Inc does not Warranty any other costs such as the cost of removal of the defective part, installation, labor, or consequential damages of any kind, the exclusive remedy being to require Blue water Security Inc. to furnish such new parts or replacements through proper RMA policies and individual Manufacturer return policies Under no circumstances shall the Buyer be entitled to recover any incidental damages do to equipment failure loss of video or audio or failure of phone line/internet/wireless connectivity that is provided by various service providers to users and the connectivity of Blue water Security Inc offering of partnering service providers and there connectivity of the above providers.
RMA Policies
No product will be accepted for return, repair or replacement without first obtaining a Return Merchandise Authorization (RMA) number.
The following information will be required:
o Date of Shipment
o Invoice Number and Sales Order Number
o Customer Purchase Order Number
o Any relevant technical data for failure description and circumstances.
o Original Box in good condition and all paper work within.
1. New, unused, undamaged, fully operational, standard stock parts may be returned for credit, only with prior written authorization, and will be subject to a 15% minimum restocking/handling charge or individual manufacturer policies which ever is greater. Items must have shipped from Blue water Security Inc. no more than 30 days prior to requesting an RMA. Customer shall pay for return freight charges. Non-standard or used parts are not returnable.
2. Any return, repair or replacement shall be subject to Blue water Security Inc. Quality Assurance acceptability and individual manufacture policies.
3. Buyer assumes all risk of damage or loss or destruction of the property, which is accepted for return, repair, or replacement as provided above. It is expressly agreed that all risks of loss are borne by Buyer from and after the time of shipment from Seller to Buyer.
1. Unless otherwise specified in accepted purchase order, all products are shipped F.O.B. Blue water Security Inc. San Diego, CA and title to the property passes to the buyer at the time of shipment. Buyer assumes all risk of damage to or loss or destruction of said property and no loss, injury or destruction of said property should release buyer from the obligation to pay for this shipment.
2. Unless otherwise specified in accepted purchase order, Blue water Security Inc. shall have the option of partial or complete shipment of orders, and shall have the right to select the date of shipment, type of carrier, and routing of shipment on behalf of Customer unless it is agreed by customer and Blue water Security Inc to have the customer pay for express air or ground freight charges and there carrier options .Blue water Security Inc. will make best efforts to meet quoted shipment dates, but does not guarantee to ship products within the time quoted. Blue water Security Inc. shall not be held responsible for any failure to make delivery of all or any part of product or nonperformance of services attributable to governmental action, strike or other labor dispute, riots, storm, flood, epidemic, fire damage to or destruction in whole or in part of products, lack of or inability to obtain raw materials, labor fuel, or supplies, or any act of God or other cause, contingency or circumstances within or without the United States not subject to Blue water Security Inc.'s control which prevents or hinders manufacture or delivery of product or performance of services
LEGAL STATUS OF PRODUCTS
It is the responsibility of the buyer to ascertain and comply with all applicable local state, county, city and federal laws in regard to the profession and use of any items purchased. Consult an attorney regarding such laws before placing an order. Check your local state law for audio recording. By placing an order, the buyer represents that he or she is of legal age and agrees to use the product only in a lawful manner. We assume no liability associated with product usage.
